WORK STAGES
Frame the decision and the options. Establish the real question, build the fact base, and put the structural options on the table, stand-alone, separate units, full integration, or divestment, each defined clearly rather than assumed.
Test and decide. Pressure-test the options against the growth imperatives and the constraints, model the financials with project capital stripped out, and bring the board or executive to a clear, evidenced decision.
Design the deal construct. Set how the transaction is actually built: the Day 1 and Day 100 operating models, what is ring-fenced, the transition services, and the separation or integration architecture.
De-risk the transition. Stand up the governance and the steering committee, set the rules that protect business-as-usual and regulatory obligations, and sequence the move so value is proven before it is scaled.
Navigate to value. Track the benefit to the decision centre responsible for it, and hand over so the result holds without the advisers in the room.
